Welcome to ProMoe! These Terms of Service (“Terms”) govern your access to and use of our website, marketplace, and related services (together, “the Platform”. By using the Platform, you agree to the these Terms. If you do not agree, you may not use our services.
Eligibility
You must be at least 18 year old, or have parental/guardian consent if under the age of 18.
You/your business must reside in Florida.
Must have a PayPal account, payouts to vendors will be made this way.
Vendors must provide accurate and up-to-date information when registering. Failure to do so will result in the deletion of your account.
By using the platform, you confirm that you are legally able to enter into this agreement.
Account
You are responsible for maintaining the confidentiality of your username and password.
You are responsible for all activity under your account
We may suspend or terminate accounts that violate these Terms or applicable laws.
Vendor Responsibilities
If you are a vendor (vendor or advertiser) on the Platform:
You must provide accurate descriptions, prices, and terms for your products or services.
You are responsible for handling shipping, delivery, refunds, and customer service unless otherwise agreed.
You must comply with all laws, including intellectual property, consumer protection, and tax regulations.
We reserve the right to remove listings or ads that we believe are misleading, harmful, or inappropriate.
Prohibited Activities
Users may not:
Sell or promote illegal, counterfeit, or stolen goods.
Post or sell academic test answers, exam keys, or any content that promotes cheating or academic dishonesty.
Harass, threaten, or abuse other users.
Use the Platform for fraudulent or deceptive practices.
Interfere with the operation or security of the Platform.
Payment and Fees
Purchases are processed through displayed payment methods (Shopify Payments, Shop Pay, etc.), as well third-party payment providers (e.g., Stripe, PayPal). Processing fees may apply.
Every vendor will be charged a 9% commission fee for every sale, including bookings and product sales.
Vendors receive payouts net of commission and any processing fees.
Payouts are processed through third-party payment providers (e.g., Stripe, PayPal).
Vendors are responsible for chargebacks, disputes, and compliance with payment provider terms.
In the event of refunds, commission fees are non-refundable.
Cancellations, Returns, & Refunds
Customers must review the vendor's individual cancellation and return policies before purchasing or booking.
Vendors may set their own policies, but all must be clearly stated on their listings.
Returns, cancellations, and refunds are at the discretion of the vendor.
We are not responsible for any disputes between vendor and customer, but we may assist in resolution when possible.
Advertising & Sponsored Content
Companies and vendors may purchase advertising or sponsored listings.
All ads must be accurate, lawful, and student-appropriate.
We reserve the right to approve, reject, or remove any ad at our discretion.
Unapproved approved advertising and sponsored content is forbidden - the post(s) will be removed and the associated account(s) will be deleted.
Intellectual Property
Vendors retain ownership of the content they upload, but grant us a license to display and promote it on the Platform.
Our Platform, branding, design, and content are owned by us and may not be copied, distributed, or modified without our permission.
Termination
We may suspend or terminate your account if you violate these Terms or if we believe your actions harm the Platform or its users.
You may close your account at any time, but you remain responsible for any pending transactions.
Disclaimer and Limitation of Liability
We provide the Platform “as is” and make no guarantees about availability, accuracy, or reliability.
We are not responsible for disputes between buyers and vendors.
To the fullest extent permitted by law, we are not liable for any damages arising from your use of the Platform.
Dispute Resolution
Users should first attempt to resolve disputes directly with the other party.
If disputes cannot be resolved, you agree to binding arbitration under the laws of Florida/United States.
Changes to Terms
We may update these Terms from time to time. Any changes will be posted on this page, and continued use of the Platform means you accept the updated Terms.
